PetPal is a mobile app platform and/or website that provides online consultations, booking to clinics, medicine and vitamin delivery, and a digital pet passport (“PetPal” or the “Platform”) to pet parents or owners (“End Users”). PetPal is owned and operated by Globe Capital Venture Holdings, Inc. (“individually and collectively, “917Ventures”, “we”, “us” or “our”).
By registering to the platform to provide your services, you (“you” or the “Veterinarian”) agree to the following terms and conditions (the “Agreement”).
  • SCOPE OF SERVICES. You shall provide veterinary services to the End User, including but not limited to, online veterinary consultation services,clinic or hospital visits, home visits, and other necessary services for the wellbeing of the pets, (the “Services”) for PetPal to the best of your ability, with due care, skill and expertise, while maintaining the highest degree of propriety and professionalism in providing such services. You further agree that the Services are not recommended for emergency cases, surgery, orthopedic, and other similar cases. If a pet is in an emergency situation, you should direct the End User to visit a veterinary clinic and/or emergency room immediately.
    • You warrant that you are a duly licensed and registered veterinarian engaged in veterinary practice in your applicable jurisdiction. In providing your services, you shall follow the standards of veterinary practice as defined under applicable laws and regulations. You shall keep all records (including any electronic records on information pertaining to the pets, prescriptions, veterinary medical records, etc.) as may be required under applicable laws.
    In performing the Services, your obligations include the following, among others:
    a. rendering veterinary care and services to pet owners and their respective pets
    b. providing timely, transparent, and updated progress reports for the paid bookings.
    c. prepare the billing documents and redemption reports that includes list of consultations done by the partner veterinarians, then send to 917Ventures the soft copy within five (5) working days before end of month;
    d. providing clear, validated, science-based, and compassionate diagnosis and recommendations to pet owners
    e. informing our team on your capacity and availability to render service to pet owners and their respective pets online or offline, at the clinic, pet owners home, or other agreed upon offices
    f. coordinating with our team
    g. participating in our monthly veterinarian’s cadence,
    h. ensuring that Philippine Regulatory Commission license are active and you remain to be in good standing, throughout your service with PetPal, and
    i. For clinics, to ensure that each veterinarian associated or employed by your institution executes this Terms and Conditions. Electronic (including audio and video) or phone communications via PetPal are not confidential or privileged and will not be the subject of any associated confidences or privileges. You agree that all such communications may be recorded for quality control and training purposes.
    The Services will include but not be limited to the following:
  • CLINICS AND OFFLINE CONSULTATIONS. You will provide the Services in accordance with professionalism and in compliance with the standards of your profession. You will regularly coordinate and update 917Ventures or your respective clinics on your availability in relation to your preferred schedule.
  • CONDUCT AND VENUE OF ONLINE CONSULTATION. You shall not conduct online sessions to PetPal’s clients outside of PetPal. Rendering services outside of the PetPal platform to PetPal End Users will result in immediate termination or removal from the platform.
    • You shall create and establish online consultation routines and guidelines, which shall be made in consultation with and approved by 917Ventures. You will regularly coordinate and update 917Ventures on your availability in relation to your preferred schedule and the area you committed to provide home visits. You must provide your own internet connection and equipment including, but not limited to, personal computer/laptop, web camera, and headset in a place convenient and susceptible for consultations. You shall solely be responsible for all fees and costs associated with your provision of the Services and for the maintenance of all computer hardware and equipment required in rendering the Services, if your services are rendered outside the PetPal office.
  • CONDUCT FOR HOME VISITS. You understand that the home visit is a general check of the pet’s health and wellbeing. Additional services during home visits, such as but not limited to tests, vaccines, and services outside the general check are to be performed upon agreement of the Veterinarians and the pet owners.
    • You commit to promptly inform our Team on your capacity and availability to provide services for home visits to pet owners. You agree to provide the above described services in your preferred area. You will provide your own transportation within your designated area and ensure timely updates to the pet owners for any possible delays in rendering the above described services. Any delay due to traffic shall be for your account. Should an event arise that will prevent you from rendering services at the booked home visit, you will promptly inform 917Ventures and make the necessary arrangements to ensure services are rendered to the End Users.
  • ADDITIONAL SERVICES. Additional services made during the paid booking, such as but not limited to tests, vaccines, and services outside the general check, are to be performed upon agreement between the veterinarians and the End Users. A booking may also include the following services, provided the End User has requested for such prior to the visit and the veterinarian has agreed:
  • Deworming
  • Vaccination
  • Health Certificate
  • Delivery of Pharmaceutical Products
  • ACCOUNTS. When registering on PetPal, you are required to create an account (the “Account”) by providing your name, a copy of requested identification, a copy of your latest professional license, email address, mobile number, password, and certain other information collected by PetPal (collectively, the “Account Information”). You agree that the Account Information that you provide shall, at all times, be true, accurate, complete, and current. You are responsible for maintaining the confidentiality of your Account password and for all activities that occur under your Account. You may not use anyone else’s account at any time. 917Ventures reserves the right to take any and all action, as it deems necessary or reasonable, to ensure the security of the Platform and your Account Information. PetPal shall in no event and under no circumstances be held liable to you for any liabilities or damages resulting from or arising out of your use of the services, your use of the Account Information or your release of the Account Information to a third party.
  • NATURE OF SERVICES You agree and acknowledge that you are solely responsible for the Services that you provide to End Users and their pets. 917Ventures does not practice veterinary medicine or any other licensed profession, and does not interfere or involve itself with the practice of veterinary medicine. No information provided by 917Ventures constitutes the practice of veterinary medicine or any other medical profession. 917Ventures does not recommend or endorse specific tests, products, procedures or opinions of Licensed Veterinarians.
    • All veterinary services can only be performed by Licensed Veterinarians. All judgments and decisions relating to veterinary practice shall be your sole responsibility. Nothing in this Agreement shall be interpreted to dictate, modify, or influence your practice or independent judgment in your practice. You shall have complete control over diagnosis and treatment, and 917Ventures shall neither exercise nor attempt to exercise any supervision or control over any advice or treatment. Neither 917Ventures nor any third parties who promote PetPal or provide End Users with a link to Petpal shall be liable for any professional advice End Users or their pets obtain from you via PetPal. We merely provide a platform to facilitate the booking of services provided by you, as a Veterinarian to the End Users of Petpal.
    Veterinarians, as users of the Platform, are solely responsible for their membership in and contributions to social welfare institutions including, but not limited to, the medical costs and billings, Social Security System, the Philippine Health Insurance Corporation, and the Home Development Mutual Fund.
  • DIGITAL PET PASSPORT. Digital Pet Passport is a record of a pet’s veterinary medical history of the services received on the Petpal Platform.
    • An End User may manage his/her pet’s medical history, including scheduled consultations, check-up results, prescribed medicines/vitamins, and completed/prospective vaccination/medication shots/dosage. The pet medical history contained in the Digital Pet Passport shall be used strictly to allow the customer to monitor his/her pet’s health status and to share such information for the veterinarian’s reference during consultations and visits.
  • USE OF THE PLATFORM. 917Ventures hereby grants you a limited, non-exclusive, nontransferable right to access the Platform and use the services only as permitted under this Agreement and any separate agreements you may have entered into with us (“Access Rights”). You agree that you will not, and will not attempt to:
    • use the Platform for illegal or unauthorized purposes, nor may you, in the use of the services, violate any laws of the Philippines or the laws of your applicable jurisdiction.
    • use the Platform in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited messages (commercial or otherwise);
    • defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
    • reverse engineer, disassemble, decompile, or translate any software or any other components of the Platform;
    • publish, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful material or information;
    • harvest or otherwise collect information about others, including email addresses, without their consent; create a false identity for the purpose of misleading others as to the identity of the sender or the origin of a message;
    • use, download, or otherwise copy, or provide (whether or not for a fee) to a person or entity that is not a Platform End User any directory of the Platform End Users or other user or usage information or any portion thereof other than in the context of your use of the Platform as permitted under this Agreement;
    • transmit or upload any material that contains viruses, trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs;
    • transmit or upload any material that contains software or other material protected by intellectual property laws, rights of privacy or publicity or any other applicable law unless you own or control the rights thereto or have received all necessary consents;
    • interfere with or disrupt networks connected to the Platform or violate the regulations, policies, or procedures of such networks;
    • attempt to gain unauthorized access to the Platform, other accounts, computer systems, or networks connected to the Platform, through password mining or any other means;
    • violate any applicable laws or regulations including, without limitation, laws regarding the transmission of technical data or software through the Platform;
    • interfere with another member’s use and enjoyment of the Platform or another individual’s or entity’s use and enjoyment of similar services; or
    • use the Platform in any manner that exceeds the scope of us granted herein.
  • CONFIDENTIALITY. You shall treat with utmost confidentiality all information made known or disclosed to you in the course of your consultation, any information which has been or may have been supplied to you by 917Ventures during the execution of this Agreement and all information about 917Ventures and the pet owners. You shall not divulge or share said information to any third party even after the termination of this Agreement, without the prior written consent or authority of 917Ventures and the pet owners. Upon the termination of this Agreement for any reason whatsoever, you shall return to 917Ventures or destroy all copies of any and all information and intellectual property that may be in your possession.
    • You will not broadcast nor record any consultation sessions made on the PetPal platform without the written consent of 917Ventures and the End User
  • PROFESSIONAL FEE. Veterinarians are entitled to payment of certain fees for every successfully completed session (the “Professional Fee”). The Professional Fee and the manner of payment thereof shall be agreed on separately between 917Ventures and you in writing.
    • You acknowledge that any failure, defect, or incompleteness of any paid booking session, including, but not limited to, traffic, problems with internet connection, power outage, technical errors, computer hardware or power, may be considered as a failure of conducting the session. In such a case, 917Ventures reserves the right to determine whether said session should be credited in favor of you.
    You also acknowledge that medical emergencies with medical certificates will be honored for rescheduling and cancellation of sessions.
  • PERSONAL INFORMATION. Use and collection of your personal information is governed by the Veterinarian’s Privacy Policy.
  • INDEPENDENT CONTRACTOR; NO CONTRACTUAL RELATIONSHIP. The practice of veterinary medicine is a highly skilled and specialized profession requiring compliance with the requirements of the Philippine Regulatory Commission. 917Ventures does not employ any veterinarians. Veterinarians are users of the PetPal platform and are not our employees or agents.
    • NO employer-employee NOR principal-agent relationship shall exist between any Veterinarian and 917Ventures. Nothing in the provisions contained herein shall be construed as creating an employer-employee or a principal-agent relationship between any Veterinarian and 917Ventures.
  • INTELLECTUAL PROPERTY AND TRADEMARKS. All proprietary content, trademarks, service marks, brand names, logos and other intellectual property (“Intellectual Property '') displayed on PetPal are the property of 917Ventures, and, where applicable, third parties identified on the PetPal platform. No right or license is granted directly or indirectly to you to use or reproduce any Intellectual Property. By using or accessing PetPal, you agree to comply with the copyright, trademark, service mark, and all other applicable laws that protect 917Ventures and its content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell, or create derivative works of any portion of PetPal.
  • DISCLAIMER. YOU EXPRESSLY AGREE THAT USE OF THE SITE OR SERVICES IS AT YOUR SOLE RISK. BOTH THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, NON-INFRINGEMENT, TITLE, OPERABILITY, CONDITION, VALUE, ACCURACY OF DATA, SYSTEM INTEGRATION, RELIABILITY OF PERFORMANCE AND FREEDOM FROM ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THIS SITE AND SITE-RELATED SERVICES.
    • You acknowledge and agree that PetPal is strictly a platform and service for connecting pet owners with independent third-party providers, including veterinarians, and that PetPal does not provide veterinary medicine advice, diagnosis, or treatment.
  • INDEMNIFICATION. You agree to indemnify, defend, and hold harmless 917Ventures, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Platform from and against all losses, expenses, damages, and costs, including reasonable attorneys` fees, resulting from any violation of this Agreement by you, your violation or breach of any policy or guidelines referenced herein, your use or misuse of PetPal, or your breach of any applicable law, and your provision of veterinary medicine services and advice to End Users.
  • LIMITATION OF LIABILITY. In no event shall 917Ventures liable for:
    • (a) any and all damages including but not limited to, direct, indirect, incidental, or consequential damages arising out of the use of or inability to use PetPal, or any information, or transactions provided on PetPal or downloaded or hyper-linked from or to PetPal, even if 917Ventures or its representatives have been advised of the possibility of such malfunction/breakdown of PetPal; or
    (b) any claim attributable to errors, omissions, or other inaccuracies in PetPal and/or materials or information downloaded through or hyper-linked from and to PetPal.
    (c) In no event will 917Ventures’ total liability to you for all damages, losses, and causes of action arising out of or relating to this Agreement or our interaction with other End Users of PetPal (whether in contract, tort, warranty, or otherwise), exceed the amount paid by you to 917Ventures, if any, for your services during the twelve (12) months immediately preceding the date of the claim or ten thousand pesos (Php 10,000.00), whichever is greater.
    (d) Nothing in this Agreement shall limit or exclude any liability for death or personal injury caused by 917Ventures’ negligence, for fraud or for any other liability on the part of 917Ventures that cannot be lawfully limited and/or excluded.
    • ASSIGNMENT. You are prohibited from assigning or transferring this Agreement, or any interest or rights you may have hereunder to any other person without the prior written consent and approval of 917Ventures.
    • TERMINATION OF AGREEMENT. You may deactivate your Account and end your registration at any time by sending an email to customersuccess@petpal.ph. 917Ventures reserves the right to maintain, delete, or destroy communications and other materials posted or uploaded to the Platform pursuant to its internal record retention and destruction policies, subject to applicable law.
    We reserve the right to suspend, disable, cancel, or terminate your account and revoke your access and use of the PetPal platform, services and collective content at any time, with or without cause, including, without limitation, if you breach the terms of this Agreement.
  • GOVERNING LAW AND GENERAL PROVISIONS This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from the execution of or in connection with these Terms and Conditions shall be brought before the proper courts of Taguig City to the exclusion of all other courts.
    • If any provision of this Agreement shall be deemed unlawful, void, or unenforceable under the law, then that provision shall be deemed severable from the rest of the Agreement, and shall not affect the validity and enforceability of any remaining provisions.
    917Ventures reserves all rights not expressly granted herein.
    This Agreement is solely for your and 917Ventures’ benefit, and is not for the benefit of any other person or entity, except for 917Ventures’ affiliates and subsidiaries and their respective successors and assigns.
    917Ventures may modify this Agreement at any time by posting the revised Agreement on this site. Your continued use of PetPal after such changes have been posted shall constitute acceptance of such revised terms.
